Master Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between YourMedSoft ("YourMedSoft," "we," "us," or "our") and the healthcare staffing agency, hospital system, or individual subscribing organization ("Customer," "you," or "your"). By creating an account, accessing, or using the YourMedSoft platform and associated APIs, you agree to be bound by these Terms and our Business Associate Agreement (BAA).
2. SaaS License & Scope of Service
YourMedSoft grants you a non-exclusive, non-transferable, revocable license to access and use our software-as-a-service platform for healthcare shift scheduling, clinician credential tracking, timesheet verification, invoicing, and reporting. You are responsible for ensuring that all authorized users (administrators, coordinators, and clinical staff) comply with these Terms.
3. Subscriptions, Invoicing, and Auto-Renewal
3.1 Billing Cycles: Paid subscriptions (Starter, Professional, Enterprise) are billed in advance on a recurring monthly or annual basis via Stripe.
3.2 Seat & Staff Quotas: Subscription plans include designated administrative seats and active clinician roster limits. Additional seats or active worker records beyond tier limits are metered according to the published pricing schedule.
3.3 Cancellation: You may cancel your subscription at any time via the in-app Billing Portal. Cancellations take effect at the conclusion of the then-current prepaid billing period with no partial refunds.
4. Customer Data Ownership & PHI Safeguards
4.1 Ownership: You retain all right, title, and interest in and to all clinical records, staffing logs, shift timesheets, and proprietary agency data uploaded to YourMedSoft ("Customer Data").
4.2 Exportability: Customer Data can be exported at any time in standard CSV and certified PDF formats through the platform reporting and audit modules.
5. Service Availability & SLA Commitment
YourMedSoft targets 99.9% platform availability, excluding scheduled maintenance windows conducted during off-peak hours with at least 24 hours advance notice. Real-time system status and uptime metrics are available via our public health endpoints.
6. Limitation of Liability & Warranties
YourMedSoft provides the platform on an "as is" and "as available" basis. While our compliance engines assist in tracking license expirations and background checks, the ultimate clinical qualification, patient safety verification, and regulatory adherence remain the sole responsibility of the licensed staffing agency and healthcare facility.
